- Refers to an additional payment in a merger or acquisition that is not part of the original acquisition cost, which is based on the acquired company's future earnings relative to a level determined by the merger agreement
- A seldom used strategy where a company will allow an investor to purchase their stock, pay for half of the stocks up front, and then pay for the rest after a certain period of time (usually five years) depending on whether or not the company has met the agreed upon profit or other requirements
